1. SCOPE
These Terms and Conditions (“Terms”) are legally binding and apply to all quotations, offers, and purchase orders accepted by Shenzhen Dyan Precision Technology Company Limited (“Dyan”). These Terms govern all sales made by Dyan, and they supersede any conflicting terms that may arise. In case of conflicts with terms in a Sales Agreement signed by both Dyan and the Buyer, these Terms prevail. Acceptance of the Buyer’s order is contingent upon their acknowledgment of these Terms, whether through written acknowledgment, implication, or acceptance and payment of products ordered.
Dyan’s failure to object to provisions in any communication from the Buyer shall not be considered a waiver of the provisions herein. These Terms are subject to the laws of the People’s Republic of China and the State of New York, USA.
2. PRICE, TAXES, AND QUOTATIONS
Prices are subject to change with thirty days’ notice to the Buyer.
Any order that can be canceled or rescheduled by the Buyer is subject to an immediate price change.
All prices exclude present or future sales, revenue or excise tax, value-added tax, turnover tax, import duty (including brokerage fees), or other taxes applicable to the manufacture or sale of any product.
Such taxes, when applicable, shall be paid by the Buyer unless a proper tax exemption certificate is provided.
Dyan’s quoted prices are current at the date of quotation and may change before an order. Quotations for tooling are estimated based on prints and parts submitted with the Buyer’s inquiry. All orders must include the latest revisions of prints.
3. DELIVERY
Unless agreed otherwise in writing, sales are Ex-Works (Incoterms 2010) Wheeling, IL.
Dyan may deliver products in one or more consignments, invoicing each consignment separately.
Dyan reserves the right to ship non-cancellable products in advance of the agreed shipping date.
Delivery time is not of the essence unless agreed otherwise in writing.
Dyan disclaims liability for any loss arising from the delay in the delivery of products.

4. PAYMENT TERMS
Payment terms are net thirty (30) days from the invoice date unless otherwise agreed in writing.
Interest accrues on any unpaid balance at a rate of five percentage points above the annual Federal Funds rate as specified in the Wall Street Journal on the day the balance becomes due.
Unless otherwise agreed in writing, all payments are to be in United States dollars.
For exported products, Dyan may require payment to be secured by an irrevocable letter of credit or a bank guarantee acceptable to Dyan. When payment is made by letter of credit, all collection costs are the Buyer’s responsibility.
In case of legal action to collect delinquent accounts, the Buyer agrees to pay reasonable attorney’s fees and costs of the suit.
5. NON-CONFORMING DELIVERY AND RISK OF LOSS
The Buyer must notify Dyan of any visible defects, quantity shortages, or incorrect product shipments within seven (7) days of receipt.
Failure to notify Dyan in writing within this period constitutes an unqualified waiver of any rights to return products based on visible defects, shortages, or incorrect shipments, subject to the Buyer’s rights under Section.
Dyan retains a security interest in the products until the Buyer’s final payment. Risk of loss and title pass to the Buyer when the products are placed with a transport agent.
